By participating in the Safe Shopping Network Marketing Service program, you accept and agree, without limitation or qualification, to all of the terms and conditions in this Agreement. Safe Shopping Network reserves the right to change the terms of the Safe Shopping Network Ad Service and this Agreement at any time and from time to time by posting such changes in this area, and your continued participation in the Safe Shopping Network Program following such changes shall be deemed your consent to such changes.

Section 1. Description of Service

The Safe Shopping Network Marketing Service Program is a fee-based service provided by Safe Shopping Network to be included in the Safe Shopping Network's main directory of web sites located at www.safeshoppingnetwork.com.com (the "Directory"). Subject to the terms below, and in Safe Shopping Network's sole discretion, then current NON-REFUNDABLE fee. By signing up with Safe Shopping Network’s Marketing Service Program, Safe Shopping Network will respond to your request for inclusion in the Directory. In consideration of your payment and participation in Safe Shopping Network Marketing Service Program in accordance with this Agreement, Safe Shopping Network agrees that a member of Safe Shopping Network's editorial staff will look at your site, include it in the Directory, and respond to you within seven (7) business days from the date that you submit your site (excluding holiday periods observed by Safe Shopping Network and any delays due to problems processing your request). Response times are measured based on Safe Shopping Network's mail servers.

Section 2. Approval

Any website promotion, product description or URL (collectively, the "Listing") submitted to the Safe Shopping Network Marketing Service is subject to the prior approval of Safe Shopping Network. Safe Shopping Network will not allow any Listings which are inappropriate, offensive or irrelevant. Once you submit your Listing, Safe Shopping Network will review your submission for editorial integrity, relevance, appropriateness and accurate mapping to the Safe Shopping Network network of Sites. You will be notified of your acceptance or rejection within the Safe Shopping Network Ad Service within approximately seven business days of Safe Shopping Network receiving your Listing submission. Safe Shopping Network reserves the unrestricted right to reject or cancel any Listing for any reason at any time. Listings may appear anywhere on the World Wide Web (at a minimum the listing´s "title" will be displayed) and Listing positioning and placement is determined by Safe Shopping Network in its sole discretion and is subject to change in Safe Shopping Network´ sole discretion. Safe Shopping Network reserves the right to edit any titles and/or descriptions and to suspend and/or remove any Listing at any time for any reason.

Section 3. Cancellation

If you would like to cancel your Safe Shopping Network account you must send an email to mr@SafeShoppingNetwork.com with the words "Cancel Account" in the subject line and your website name in the body. Your account will be canceled within approximately three business days. If you have been assigned a dedicated account representative you may cancel your participation by providing Safe Shopping Network with at least 7 days written notice. Notice to Safe Shopping Network must be sent to Safe Shopping Network, Inc. 5709 Calvin Ave, Tarzana, CA. 91356. Safe Shopping Network may cancel your participation in the Safe Shopping Network Ad Service at any time, by email notice to you, and Safe Shopping Network may cancel or suspend the Safe Shopping Network Ad Service at any time. If your account is inactive during any 90 day period, Safe Shopping Network may disable the Listing and will notify you via a message sent to the email address designated by you on the registration form.

Section 4. Payment

You agree to pay Safe Shopping Network an up-front, non-refundable Deposit fee in the amount set forth on the registration form. You hereby authorize Safe Shopping Network to charge your credit card for your pre-determined deposit amount related to said package.

Section 5. Indemnity

Applicant agrees to indemnify, defend and hold harmless Safe Shopping Network, and its parents, subsidiaries, affiliates, officers, directors, shareholders, employees and agents, from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of Applicant's use of or listing in the Service, Safe Shopping Network reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by Applicant, which shall not excuse Applicant's indemnity obligations.

Section 6. General

This Agreement constitutes the entire agreement between the parties with respect to the Service and supersedes all previous or contemporaneous proposals, both oral and written, representations, writings and all other communications between the parties with respect to such subject matter, excluding the Safe Shopping Network Terms of Service and the Safe Shopping Network Privacy Policy.

The Agreement and the relationship between Applicant and Safe Shopping Network are governed by the laws of the state of California, U.S.A. without regard to that state's conflict of laws rules. Applicant and Safe Shopping Network hereby submit to the personal and exclusive jurisdiction of the Superior Court of the State of California or the United States District Court for the Northern District of California for the resolution of disputes arising from or in connection with this Agreement. Safe Shopping Network's failure to exercise or to enforce any right or provision of the Agreement will not constitute a waiver of such right or provision. If any provision of the Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision and in the Agreement, without statutory presumptions against the drafter, and they agree that all other provisions of the Agreement will remain in full force and effect. The parties expressly agree that the United Nations Convention for the International Sale of Goods does not apply to this Agreement. Applicant agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Service or to the Agreement must be filed in the Superior Court of the State of California or the United States District Court for the Northern District of California within one (1) calendar year after such claim or cause of action arose or be forever barred.
